Terms and Conditions

These Terms apply to all marketing and subscription services provided by RXR Media, including services delivered under the RXR Media and Leaf-Leads brands (including but not limited to flyer campaigns, digital advertising, AI receptionist services, and subscription-based services). Service details, pricing, and deliverables are defined in the invoice, proposal, order form, subscription plan, or written communications associated with the Client’s account.

1. Agreement & Acceptance Binding

By paying any invoice (including partial payment), starting a subscription, or authorizing charges, the Client agrees to these Terms and forms a binding contract with RXR Media for the services listed on the invoice or subscription.

Acceptance may occur through payment, signed agreement, recorded approval, or written/electronic consent (including SMS/text message authorization).

2. Scope of Services

RXR Media may provide:

  • Print Marketing: flyer design, printing, and distribution to selected ZIP codes, routes, or targeted lists.
  • Digital Advertising: Meta/Facebook/Instagram ads, Google ads, creative, targeting, and campaign management.
  • Software / Subscriptions: ongoing access to tools, reporting, call tracking, lead systems, AI services, and maintenance.

Specific deliverables and timelines vary by service and are defined by the invoice, plan, or statement of work.

3. Payment Terms

  • All services are billed upfront unless otherwise stated in writing.
  • Services may require intake steps (e.g., targeting selections, creative approvals, asset submission) before execution.
  • Payments may be accepted via Stripe/card, ACH, wire, or other methods made available by RXR Media.

4. Partial Payments, Balances & Campaign Entitlement Important

Some invoices are structured with multiple payments (e.g., deposit + remaining balance). If the Client makes a partial payment, the Client is contracted for the full campaign described in the invoice.

  • Balance Due: Any remaining balance is still owed according to the invoice terms.
  • No “Half-Campaign” Cancellations: A Client may not cancel after paying a portion of an invoice to avoid the remaining balance.
  • Delivery of Service: Once the balance is paid and required intake steps are completed, the Client is entitled to the full campaign.

If the Client stops payment or refuses to pay the remaining balance after work has begun, RXR Media may pause services and pursue collection of the outstanding balance. The Client remains responsible for any costs incurred (including design, print, postage, vendor fees, and labor) up to the point of pause.

5. Subscriptions, Auto-Renewal & Text Message Authorization Protected

Subscription services renew automatically at the stated interval (typically monthly) unless canceled as described below. The Client authorizes RXR Media to charge the payment method on file for recurring fees, and for any approved add-ons or usage-based charges.

Text/SMS Consent: The Client may authorize recurring billing or subscription start via SMS/text message or other written electronic communication. RXR Media may rely on such messages as valid authorization from the Client or an authorized representative, including for:

  • starting a recurring subscription,
  • changing subscription tiers,
  • authorizing additional services,
  • approving usage-based charges where applicable.

Cancellation: Subscriptions must be canceled at least 5 days before the next billing date to avoid renewal charges.

6. Refund Policy No Refunds After Start

All sales are final. RXR Media does not issue refunds once any of the following occurs:

  • design, targeting, or production work begins,
  • print orders or mailing commitments are placed,
  • digital campaigns are launched or spend is incurred,
  • a subscription cycle renews, or usage occurs.

Any exception is at RXR Media’s sole discretion and only when no work has been performed and no third-party costs have been incurred.

7. Delivery & Timelines

  • Flyer Campaigns: typical lead time is ~2 weeks depending on volume, approvals, and vendor/printer availability.
  • USPS / Third-Party Delays: RXR Media is not liable for USPS delays or third-party production queues.
  • Quantity Note: final delivered quantities may vary slightly due to carrier route sizes and rounding requirements.
  • Digital Ads: launches typically occur within 2–3 business days after onboarding completion (assets + approvals received).
  • Software Access: subscription access is typically provided upon payment and successful onboarding.

8. Performance Disclaimer

RXR Media does not guarantee specific outcomes (e.g., leads, calls, booked jobs, revenue). Results depend on market conditions, seasonality, competition, platform changes, creative, offer strength, and the Client’s ability to handle inbound demand.

9. Client Responsibilities

To keep timelines on track, the Client agrees to:

  • provide accurate business info and requested assets promptly,
  • respond to approvals and questions within a reasonable time,
  • use tracking numbers/landing pages provided when applicable,
  • comply with ad platform rules and applicable laws (including consent/recording rules where relevant).

Delays caused by the Client may extend turnaround time without penalty to RXR Media.

10. Exclusivity (If Applicable)

If a Client purchases exclusive ZIP codes or territories, exclusivity lasts for 60 days post-payment unless otherwise stated in writing. After 60 days without reorder or renewal, RXR Media may reassign exclusivity.

11. Chargebacks & Disputes

Chargebacks or payment disputes after service initiation are treated as a breach of these Terms. RXR Media may provide documentation to dispute claims, including communication logs, approvals, proofs of work, proofs of delivery, and campaign records.

12. Limitation of Liability

RXR Media is not liable for indirect, incidental, or consequential damages (including lost profits or reputation harm). RXR Media’s total liability for any claim is limited to the amount paid for the specific services giving rise to the claim.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Wisconsin.
